1. Acceptance of Terms

By accessing or using Amenity Hosts ("the Service"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These Terms apply to all users of the Service, including hosts, commerce partners, and end users (EV drivers).

2. Description of Service

Amenity Hosts provides a platform for EV charging location hosts to:

Create branded digital presence visible on in-car displays
Manage amenities and partner commerce offerings
Enable in-car ordering and payment
Implement loyalty and rewards programs
Access analytics and visitor insights

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration

To use our services, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

We reserve the right to refuse registration or terminate accounts at our sole discretion.

4. Subscription and Billing

Our services are provided on a subscription basis. By subscribing, you agree to:

Pay all fees associated with your chosen plan
Provide valid and current payment information
Accept automatic renewal unless cancelled before the renewal date

4.1 Free Trial

We offer a 15-day free trial for new accounts. At the end of the trial:

Your account will require a valid payment method to continue
You may cancel at any time during the trial without charge
Data created during the trial will be preserved

4.2 Billing Cycles

Subscriptions are billed in advance on a monthly or yearly basis. Yearly subscriptions receive a discount equivalent to approximately two months free.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

Access continues until the end of your current billing period
No refunds are provided for partial periods
Your data will be retained for 30 days after expiration

5. Acceptable Use

You agree not to use our services to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit harmful, malicious, or illegal content
Attempt to gain unauthorized access to our systems
Interfere with the proper working of the Service
Engage in any activity that could damage our reputation
Collect user information without consent
Send unsolicited promotional material ("spam")

Violation of these terms may result in immediate termination of your account.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you upload to the Service ("Your Content"). By uploading, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute Your Content solely for the purpose of providing the Service.

6.2 Our Content

The Service and its original content, features, and functionality are owned by Amenity Hosts and are protected by international copyright, trademark, and other intellectual property laws.

7. Third-Party Services

Our Service may contain links to third-party websites or services that are not owned or controlled by Amenity Hosts. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMENITY HOSTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Amenity Hosts and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

Your right to use the Service will immediately cease
We may delete your account and data
Provisions that should survive termination will survive

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts located in Austin, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through our platform. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
